Landis+Gyr launches fixed-price offer to repurchase up to CHF 50 million of own registered shares

Cham, Switzerland – August 3, 2026

Landis+Gyr Group AG (SIX: LAND), a global energy technology leader driving intelligent innovation across the grid, today launched a fixed-price offer and terminated the previous share buyback program.

Landis+Gyr is offering to repurchase up to 1,000,000 registered shares at a fixed price of CHF 50.00 per share, for a total amount of up to CHF 50 million. The offer price represents a premium of 9.5% on the last closing price prior to this announcement. The buyback notice published today is available on the company's website at www.landisgyr.com/investors/share-buyback-program.

The offer period is running from Tuesday, August 4, 2026, until Tuesday, August 18, 2026, at 12 p.m. CEST. If the number of tendered registered shares exceeds the amount offered, the allocation will be made on a pro rata basis, i.e., the tenders will be reduced proportionally. The results of the public share repurchase will be announced as an ad hoc announcement on Wednesday, August 19, 2026. The payment of the net buyback price and the delivery of the registered shares will take place on Friday, August 21, 2026.

Capital contribution reserves will be used for the repurchases, allowing the share repurchases to be exempt from withholding tax. Landis+Gyr has mandated UBS AG to execute the fixed-price buyback offer.

The current 2025 – 2028 share buyback program was terminated with immediate effect, and the last trading day was on July 31, 2026. Under the terminated share buyback program, 1,264,957 registered shares or c. 4.38% of the share capital have been repurchased for a total value of around CHF 61.9 million, which corresponds to an average price of CHF 48.97.

Following completion of the fixed-price offer, Landis+Gyr intends to launch a new share buyback program to return the remaining portion of the USD 175 million from the EMEA divestment to shareholders.
