Why is Toshiba buying Landis+Gyr?
Toshiba and Landis+Gyr have long histories and strong positioning in their respective areas of the smart grid marketplace. Both companies are focused on the development and proliferation of technologies for the realization of a low-carbon society and improved energy management. By leveraging both companies’ technologies and experience, and expanding our key relationships; we believe that we can accelerate and expand innovation and further our quest for smarter communities and a smarter grid. Of course, the acquisition remains subject to regulatory approvals and other customary closing conditions and is expected to close in the third quarter.

Do you anticipate restructuring or location changes?

Toshiba is acquiring Landis+Gyr because of the strength of Landis+Gyr offerings, experience and team performance and the collective company’s ability to expand scope and more quickly deliver on our collective smart grid vision. As such, there are no plans for restructuring associated with this transaction.

Will there be changes to your management structure?
Toshiba plans to manage Landis+Gyr as a standalone, growth platform under the Toshiba Group corporate structure. Landis+Gyr will be lead by Andreas Umbach, as President and CEO within Toshiba’s Infrastructure Systems Group.

Are there any expected customer or contract impacts?
Landis+Gyr expects things to remain “business as usual”. We will continue to develop and deliver smart grid products and solutions for our customers and in the market.

What is Toshiba’s Smart Community business and vision?
Toshiba established a dedicated Smart Community Division to promote its Smart Community business in October 2010. The division reports directly to the president & CEO.

On April 1, 2011, Toshiba established a new in-house company, the Social Infrastructure Systems Company, which reinforces Toshiba’s ability to offer integrated solutions across power transmission and distribution, a broad range of social infrastructure, including railway systems, automotive systems and rechargeable batteries, and to support the Smart Community business.

As a pioneer in the Smart Community business, Toshiba is already involved in a number of Smart Grid and Smart Community demonstration projects in Japan and overseas, including the U.S., France and India, that will ensure customers can access promising solutions and well-proven technology.

As its maximizes the opportunities afforded by the Landis+Gyr acquisition, Toshiba and Landis+Gyr will aim to expand their global solutions continuing to bring the Smart Community vision to reality.
